The Dutch Caribbean Securities Exchange N.V. (DCSX) is an international securities exchange for the listing and trading of domestic and international securities. The DCSX is smaller, less costly, yet similar in its possibilities for issuers as exchanges such as the NYSE or London Stock Exchange. It is located in Curaçao, a constituent of the Kingdom of the Netherlands.

Structure

Foundation

The Foundation is the incorporator of the corporation. It is the ultimate policy-making body of the Exchange. The two chartered tasks of the Foundation are the promotion of the DCSX and approval and supervision of members.

Corporation

Management of the Exchange consists of a Supervisory Board and an Executive Board which includes the CEO. A Listing Committee is responsible for approving new listings on the Exchange. Arbitration is managed by an Appeals Committee.

Rules and regulations

The rules and regulations of the DCSX are modeled after the Alternative Investment Market and Alternext. The rules provide smaller companies with flexibility and easier access to an equity market while providing transparency and strong governance. The DCSX follows Curaçao law, which is in concordance with Dutch Law. Final appeals of disputes are heard and decided at the Supreme Court of the Netherlands.

Supervision

The DCSX is licensed by the Minister of Finance and supervised by the Central Bank of Curaçao and Sint Maarten Department of Investment and Trust Supervision. The Central Bank ensures that the DCSX complies with procedures, trading system redundancy protocols, and rules and regulations. The bank may conduct an audit or inspection of the DCSX at any time. The last audit was in December 2012.

Custodian

The DCSX custodial bank is SFT Bank, N.V., owned by the founders of CITCO Group Limited, an international financial services group comprising banks, trust, and fund companies.
