Zimmer Holdings Inc. NYSE: ZMH is the world leader in orthopaedic implants. It is headquartered in Warsaw, Indiana, United States. Its products include knee, hip, shoulder and spinal implants along with fracture/trauma and orthopaedic surgical products. Zimmer was founded in 1927 by Justin O. Zimmer, a salesman for Revra DePuy. It was acquired by Bristol-Myers Squibb in 1972. In 2001, Zimmer was spun off from Bristol-Myers Squibb. In 2003, Zimmer acquired Centerpulse AG, a Swiss-based orthopaedic manufacturer.
In September 2007, Zimmer, Johnson & Johnson's DePuy Orthopaedics Inc., Smith & Nephew PLC and Biomet Inc. entered into settlement agreements, through which they will pay $300m in total, adopt industry overhauls and corporate monitoring to avoid criminal charges of conspiracy.
Under the terms of the settlement, Zimmer entered into a Deferred Prosecution Agreement, under which they will pay a civil settlement amount of $169.5 million and will be subject to oversight by a federal monitor appointed by the U.S. Department of Justice for 18 months. In addition, all employees were required to undergo Department of Justice-approved corporate compliance training.
