The Withlacoochee, Plant City and Boca Grande Railroad Company was created with the approval of Florida state law chapter 4258, on May 31, 1893. The company had previously been called the Homosassa and Withlacoochee Railroad Company.
The line was to start from a point on the Withlacoochee River in Citrus county, running through the counties of Citrus, Hernando, Pasco, to Plant City, in Hillsborough county; and thence through Hillsborough, Manatee and DeSoto to Boca Grande in Lee county, with a branch running from Plant City to Bartow and other points.

The railroad was only to be entitled to land grants for portions constructed before or on September 1, 1897, but the railroad was never constructed.

The charter members were Walter S. Turner (Inverness), Thomas J. Cochran (Inverness), William Baily (Tallahassee, Fla.), Alexander B. Hawkins (Tallahassee), Wm. P. Denham (Tallahassee), and Wm. J. Hawkins (Raleigh, N. C.).
