The 2004 edition of the Copa Libertadores was the 45th in the tournament's history. Once Caldas won the Cup for the first time. This became the second time that a team from Colombia won the Copa Libertadores. 36 teams participated in the tournament. In the First Round, the teams were divided into 9 groups of 4 teams each. The top team in each group and the 5 second-place teams with the most points qualified directly to the Eighthfinals, while the 4 second-place teams with the least points participated in a Playoff Round to determine 2 winners that would also advance to the Eighthfinals. These 16 remaining teams then participated in a playoff bracket.
The tournament took place from February 3, 2004 to July 1, 2004.

First leg matches were played between May 4, 2004 and May 6, 2004. Second leg matches were played between May 11, 2004 and May 13, 2004.
NB: This was the last year in which the away goals rule was not employed in the Copa Libertadores. Had it been in place, and the same scorelines had occurred under these different circumstances:
- Once Caldas, São Paulo and River Plate would not have advanced.
- Deportivo Cali and Santos FC would have advanced without a shootout.

First leg matches were played on May 20, 2004 and May 21, 2004. Second leg matches were played between May 25, 2004 and May 27, 2004.
- Under Away Goals Rule São Caetano, would make it into semifinals instead of Boca
