NXP (for Next eXPerience) Semiconductors is the name for the new semiconductor company founded by Philips as announced by its CEO Frans van Houten to its customers and employees in Berlin on Thursday night 2006-08-31 and to the global media early on Friday morning 2006-09-01.

- Philips Semiconductors acquires VLSI Technology in June, 1999.
- In December 2005, Philips announced its intention to make its Semiconductor Division into a separate legal entity. This process of "disentanglement" was scheduled to be completed on 2006-10-01.
- 2006-08-02, Philips completed an agreement to sell a controlling 80.1% stake in Philips Semiconductors to a consortium of private equity investors consisting of Kohlberg Kravis Roberts & Co. (KKR), Silver Lake Partners and AlpInvest Partners. Philips will retain a 19.9% share in the new entity.
- 2006-08-21, Bain Capital and Apax Partners announced that they had signed definitive commitments to join the expanded consortium headed by KKR that is to acquire the controlling stake in the new company.
- 2006-09-01, NXP announced to the global media during the Internationale Funkausstellung (IFA) consumer electronics show in Berlin.
- 2006-09-14, NXP announced its board of management, comprising Frans van Houten, Peter van Bommel, Theo Claasen and Hein van der Zeeuw.
- 2006-10-04, NXP announced the appointment of Sir Peter Bonfield as chairman of its supervisory board.
