MphasiS is a leading IT and BPO services company, originating in India. The company supports G2000 companies around the world in the improvement of their business processes.

MphasiS's consulting arm (including London-based Princeton Consulting, an acquisition in early 2005) leverages its practices for architecture, business analysis, business intelligence and business excellence to provide process improvement and customer relationship management solutions to clients.

The company was founded in 1998 as Mphasis Corporation, a software company based in California, which subsequently merged with BFL Software in 2000 to form Mphasis-BFL with twin headquarters in Santa Monica, California, and Bangalore, India. In addition to an on-site presence at key locations, the company has an extensive offshore infrastructure for IT development and business process outsourcing with centers in India, China, and Mexico. Over 12,000 professionals work in 23 offices in 9 countries across 4 continents.

In April 2006, Electronic Data Systems (EDS) made a conditional offer to buy a 52% controlling stake in MphasiS, for about $380 million. Principal venture capital shareholder ING Barings accepted the offer and tendered their entire 34.7% shareholding to EDS.

Although the company's management has indicated that they would continue with Mphasis even after this acquisition of a majority holding by EDS, Chairman and CEO Jaithirth "Jerry" Rao tendered 1,875,000 shares - about a third of his holding - to EDS under their offer, sparking speculation that he may be planning to leave the company. Other unconfirmed reports indicate that Mr Rao may instead be moving to a senior position within EDS. On June 28th 2006 the company advised that it would be re-constituting its Board, with Stephen Heidt of EDS becoming the new Chairman, and former Chairman Jerry Rao continuing as CEO and Managing Director.

  • In August 2004, MphasiS was ranked No. 1 in terms of percentage growth and net minutes gained by rising stars among intermediate-sized tele-services companies. MphasiS has won this award two years in a row.
  • Chairman & CEO Jerry Rao and Vice Chairman Jeroen Tas have twice been awarded the Ernst and Young Entrepreneur of the Year Award.
  • MphasiS has been listed in Forbes's global list of 100 best "Under a Billion" companies in the Asia Pacific region.
  • MphasiS is "Test House" for the [Symbian Signed] program.
